Courier is an independent contractor, not an employee. Courier:
(a) Controls their own schedule;
(b) Provides their own vehicle and equipment;
(c) Pays their own taxes and insurance;
(d) Is not entitled to benefits;
(e) May work for other companies.
Nothing in this Agreement creates an employment relationship.
This Agreement begins upon acceptance and continues until terminated by either party.
(a) Base pay: [X] per completed delivery;
(b) Mileage: [X] per mile beyond first [X] miles;
(c) Payout schedule: Weekly (Fridays);
(d) Instant Pay: Available for 2.5% fee;
(e) No payment for cancelled or failed deliveries caused by Courier.
Courier must maintain:
(a) Valid driver's license;
(b) Current auto insurance (state minimum);
(c) Reliable vehicle matching registered type;
(d) Clean driving record;
(e) Smartphone with camera and GPS;
(f) Pass background check (Checkr);
(g) Complete food safety training (for food deliveries).
Courier registers:
(a) Vehicle type: Sedan / SUV / Minivan / Cargo Van / Pickup / Box Truck;
(b) Capabilities: Tow hitch, two-person team, blankets, straps, dolly.
Courier must update registration if vehicle or capabilities change.
1. Accept Gig: Confirm vehicle matches requirements;
2. Pickup Verification: Take 3 to 4 photos, complete checklist, obtain Seller signature;
3. Send to Buyer: System sends photos and checklist to Buyer for review;
4. Transit: Secure item, drive to delivery location (GPS tracking active);
5. Complete: Final delivery photo, mark complete in app.
Failure to follow protocol may result in penalties or termination.
If Courier accepts a gig requiring vehicle/equipment they do not have and fails to complete pickup:
(a) Forfeits delivery fee;
(b) Charged $25 cancellation fee;
(c) Repeated violations: deactivation.
If Courier damages Item in transit:
(a) Pre-pickup photos must show Item intact;
(b) Full refund issued to Buyer from insurance fund;
(c) Refund amount + $25 penalty deducted from Courier's future earnings;
(d) 2nd offense: Suspension;
(e) 3rd offense: Termination.
Courier must return damaged items to designated hub within 24 hours at own expense. Failure results in additional $25 penalty.
Courier agrees not to disclose confidential information about:
(a) Platform operations and processes;
(b) Pricing and business models;
(c) Customer, Seller, or Buyer data;
(d) The 5-step protocol;
(e) Any proprietary information.
Duration: During Agreement and for 3 years after termination.
For 12 months after termination, Courier agrees not to:
(a) Solicit Platform Couriers for competing services;
(b) Solicit Platform Sellers for competing services;
(c) Use Platform data for competitive purposes.
Courier maintains own auto insurance. Platform's insurance is excess over Courier's primary coverage.
Courier is responsible for all taxes. Platform will issue Form 1099-NEC where required.
Courier agrees to:
(a) Drive safely and obey traffic laws;
(b) Not drive under the influence;
(c) Not use phone while driving (except hands-free navigation);
(d) Trust instincts if location feels unsafe;
(e) Report safety incidents immediately.
(a) Anytime, with notice preferred;
(b) Complete active gigs or arrange reassignment.
(a) Immediate for: fraud, theft, violence, safety violations;
(b) After warning for: repeated protocol violations, damage incidents, no-shows;
(c) Without cause with 7 days' notice.
Sections 8.8, 8.10, 8.11, 8.13, and 8.17 survive termination.
Governed by the laws of the State of Delaware. Disputes resolved per Section 1.11 of the Terms.
This Agreement, together with the Terms and any referenced policies, constitutes the entire agreement between Courier and the Platform.
BY ACCEPTING THIS AGREEMENT, COURIER ACKNOWLEDGES:
(a) They have read and understood all terms;
(b) They accept independent contractor status;
(c) They understand the compensation structure;
(d) They agree to the 5-step protocol;
(e) They accept the damage liability provisions;
(f) They consent to background checks.
