Vendor Agreement

This Vendor Agreement supplements and incorporates the Terms and Conditions.

7.1 Definition

"Vendor" means a Seller operating as a business entity (LLC, corporation, sole proprietorship) or as a food vendor.

7.2 Business Requirements

Vendor must:
(a) Be legally registered to conduct business in their operating state(s);
(b) Hold all required licenses and permits;
(c) Maintain commercial insurance;
(d) Comply with all applicable laws (tax, safety, labeling);
(e) Provide valid W-9 or W-8 tax documentation.

7.3 Food Vendor Requirements

Food Vendors additionally must:
(a) Hold a valid food handler certificate, cottage food license, or commercial kitchen certification as applicable;
(b) Comply with state and local health codes;
(c) Maintain temperature logs where required;
(d) Provide allergen disclosures;
(e) Maintain product liability insurance.

7.4 Vendor Obligations

Vendor agrees to:
(a) Maintain accurate listings;
(b) Fulfill orders timely;
(c) Comply with all Platform policies;
(d) Cooperate with dispute investigations;
(e) Promptly respond to Platform communications.

7.5 Vendor Warranties

Vendor warrants and represents that:
(a) All items comply with applicable laws;
(b) Food is safe, properly prepared, and correctly labeled;
(c) They have authority to sell all listed items;
(d) They maintain all required licenses and insurance;
(e) They comply with all applicable health, safety, and labeling regulations.

7.6 Fees and Payouts

Vendor pays Platform fees per the current pricing tier. Payouts are issued per Section 1.7.5 of the Terms.

7.7 Insurance Requirements

Vendor must maintain:
(a) General liability: $1,000,000 per occurrence;
(b) Product liability (food vendors): $1,000,000;
(c) Workers' compensation (if required by law);
(d) Auto insurance (if using own vehicles).

Certificates of insurance must be provided upon request.

7.8 Indemnification

Vendor agrees to indemnify the Platform from all claims arising from:
(a) Vendor's products or services;
(b) Foodborne illness or injury;
(c) Regulatory violations;
(d) IP infringement;
(e) Vendor's negligence.

7.9 Audit Rights

Platform reserves the right to audit Vendor's compliance with this Agreement upon reasonable notice.

7.10 Termination

Platform may terminate immediately for:
(a) Loss of required licenses;
(b) Food safety violations;
(c) Pattern of customer complaints;
(d) Regulatory action;
(e) Any breach of this Agreement.

7.11 Survival

Sections 7.7, 7.8, and 7.11 survive termination.
